Terms & Conditions – Ruban Studio

To the fullest extent legally permissible, all dealings between the Customer and Ruban Studio PTY LTD (ABN: 34 675 021 913), including any related entities or successors, are subject to the following Terms & Conditions unless expressly agreed otherwise in writing.

1. Quotation & Ordering Process

Quotations

The Customer agrees that:

  • Quotations are only valid if provided in writing.
  • Orders must be placed within 7 days of the quotation date; otherwise, the quotation is not binding.
  • Ruban Studio may amend a quotation before an order is received and will notify the Customer accordingly.
  • If Ruban Studio determines that a quotation is part of a larger transaction with materially changed circumstances, it is not bound by the original quotation.
  • The Customer is responsible for any additional charges if Ruban Studio holds goods pending an order.
  • Quotation prices may fluctuate due to changes in the USD to AUD exchange rate, and the Customer agrees to cover any such fluctuations before the order is confirmed.

Stock Reservations

To hold stock, an official purchase order must be submitted in writing. Stock will be held for 48 hours or as agreed, without follow-up from the customer. After this period, stock may be released for other orders.

Placement of Orders

The Customer agrees that:

  • All orders must be submitted in writing via email or mail, including an official company purchase order.
  • Changes or additions to orders must also be made in writing. Verbal orders or instructions are not accepted.
  • In case of disputes regarding orders (including identity, authority, or communication errors), Ruban Studio’s internal records will serve as conclusive evidence.
  • Each order represents that the Customer is solvent and able to meet financial obligations.
  • The Customer must disclose any material facts that could affect order acceptance or credit approval. Failure to do so may be deemed unfair, misleading, or deceptive.

Artwork & Order Approvals

Artwork Specifications for Ruban Studio

Electronic Submission

  • Artwork should be submitted in Adobe Illustrator vector format. Text must be converted to outlines, curves, or embedded font types. Please specify Pantone PMS colors, order numbers, and fonts where applicable.
  • JPEG, PDF, and TIF files in high resolution are accepted, but these are not considered final artwork. Artwork charges may apply for converting files into vector format.

Changes to Artwork

  • Charges apply for any design changes requested after final artwork proofs have been provided for approval. This will be applied for each additional proof required.

Pre-Production Samples

Ruban Studio may provide pre-production samples for Custom Orders. These samples demonstrate the construction, design, and function of the final product. Please note that custom-made products may vary in colour, detail, and finish from batch to batch. We cannot guarantee exact material colour matches due to variations in the dyeing and colourisation process. Returns or refunds will not be accepted for products with material colour variations.

2. Production & Printing

·        Full colour printing
Due to the printing methods used, we cannot guarantee colour consistency. Variations may occur within an order or between orders.

·        Imprinting Methods

Ruban Studio utilises a range of imprinting methods for custom packaging and product designs, including heat transfer, plastisol transfer, pad printing, embossing, debossing, screen printing, laser engraving, and digital labels. These methods allow for a variety of finishes to suit your unique design needs.

·       Please note that none of these imprinting methods are entirely permanent. Exposure to sunlight, abrasion, harsh chemicals, or dishwasher cleaning may affect the durability and longevity of the imprinting. To ensure the best results, proper care and handling of your printed products are recommended.

·       Ink coverage & decoration positioning
Solid ink coverage may not be achievable on some products, labels, or decoration methods. Ink coverage may also vary, especially when light colours are used on dark backgrounds due to the transparency of ink. Slight variations in decoration positioning are considered acceptable.

  • PMS Colour Matches
    We cannot guarantee an exact PMS colour match, as ink colours may vary on different materials. Neon inks may fade within 30 days when exposed to sunlight. Each PMS colour match incurs an additional charge, even for multiple products. PMS is a registered trademark of the Pantone Matching System.

3. Payment & Property

Payment Terms

Non-Account Holders

  • Full payment is required upon approval of the formal quote/order form, prior to production.
  • Credit accounts may be applied for orders over $100,000

Account Holders

  • 50% payment is required prior to production on every order
  • Overdue accounts (15+ days) will have credit suspended.
  • Accounts overdue by 30+ days will be referred to a debt collection agency, with all associated costs incurred by the account holder.

Exceptions

  • Overdue accounts may be subject to 3% monthly interest, recoverable as a liquidated debt.

Payment Methods

Accepted payment methods:

  • Bank transfer
  • Credit card (Visa & MasterCard)
  • Bank cheque

Property & Risk

  • Ownership of goods remains with Ruban Studio until full payment is received.
  • Ruban Studio reserves the right to reclaim and dispose of goods if payment is not made.
  • Upon delivery, the Customer assumes responsibility for the goods and indemnifies Ruban Studio against any loss.
  • Until full payment, the Customer agrees to:
    • Store unpaid goods as the property of Ruban Studio.
    • Only sell goods in the normal course of business, with proceeds held in trust for Ruban Studio.

Property & Trust

  • Goods are not considered sold “in the usual course” to any related entity of the Customer.
  • If goods are used in a process (construction, fabrication, manufacturing, etc.) that entitles the Customer to receive payment from another party, the Customer must hold an amount equivalent to the value of those goods in trust for Ruban Studio until full payment is received.
  • This clause does not create a charge and should be interpreted accordingly.
  • A certificate signed by a Ruban Studio officer stating goods as “unpaid” will be considered conclusive evidence of the status of those goods.
  • If goods are used in a process (construction, fabrication, manufacturing, etc.) that entitles the Customer to receive payment from another party, the Customer must hold an amount equivalent to the value of those goods in trust for Ruban Studio until full payment is received.
  • This clause does not create a charge and should be interpreted accordingly.
  • A certificate signed by a Ruban Studio officer stating goods as “unpaid” will be considered conclusive evidence of the status of those goods.

4. Lead Times, Delivery & Shipping

Lead times may be specified, but if goods are out of stock or a required delivery date is unachievable, Ruban Studio will contact the Customer with the best alternative date.

Rush or Air service may be available on certain items for an additional charge. Please confirm with Ruban Studio.

  • If no “required by” date is specified, the order will follow standard production times, beginning after artwork proof approval and receipt of payment and signed confirmation (if required).
  • Ruban Studio does not guarantee supply and reserves the right to decline delivery at its discretion.
  • While Ruban Studio will provide an estimated dispatch date, it cannot be held liable for shipping or freight delays.
  • If goods are not delivered by the “delivery date”, the Customer remains responsible for payment.
  • Ruban Studio is not liable for unforeseen delays, including third-party or transit delays. Third-party delays may involve suppliers, factories, or transit-related issues such as customs and courier delays.

Shipping Instructions

·       Goods will be delivered to the specified delivery address on the approved order confirmation, quote, or purchase order. Invoices are not sent with orders; they will be emailed and mailed to the original business address. Payment is due before dispatch, the invoice will be sent via email 3-5 working days prior, allowing time for payment processing.

·       Ensure all shipping instructions are clearly listed on your purchase order. Additional handling charges will apply for split shipments; please confirm with Ruban Studio before placing your order. Double-check the delivery address on the order confirmation, as we may be unable to change it after shipment. Ruban Studio is not liable for incorrect addresses on approved order confirmations. Any redelivery or redirection charges will be the Customer's responsibility.

Freight Charges

·       If no freight company is specified on your order, we will ship via our carriers (the fastest and most economical option) and add freight costs to the invoice. For freight quotations before ordering, please contact our office. Goods requiring repacking, pallets, unloading, or additional logistics work will be subject to additional fees, charged at an hourly rate. We will provide a quote as requested. Deliveries to multiple locations will incur a handling charge plus 10% GST per location.

Deliveries to Third Parties

·       If delivery is requested to a third party, it is your responsibility to verify that the delivery is correct. Ruban Studio is not responsible for goods lost by third parties. Additionally, if incorrect products are delivered to you or a third party and are then used under your direction, we will not accept responsibility or returns for credit under any circumstances. Ruban Studio is not liable for delays, failure, or inability to deliver goods.

Packaging & Weights

  • Product packaging details and shipping weights are available upon request. Modifications to packaging and carton specifications may occur without prior notice.

5. Product Details & Quality Assurance

Product Descriptions

·       At Ruban Studio, we make every effort to accurately represent our custom products on our website and in our catalogue. However, due to typographical errors, digital printing variations, or differences in electronic displays, the color and appearance of the product may differ from the final product. Since our offerings include customized packaging and designs, we highly recommend ordering a sample to verify the quality, colour, size, or thickness before placing an order.

·       Please note that colour variations may still occur even after receiving a sample, and we cannot guarantee exact colour matches due to the nature of custom manufacturing. As such, returns or refunds will not be provided for products with colour discrepancies.

Scratch, Scuff Marks & Blemishes

·       Products may exhibit naturally occurring scratches, scuff marks, or blemishes due to the manufacturing process. Additionally, excessive marks may occur during shipping. To ensure the safety of your items during transit, custom shipping specifications may be required for individual productions, which may incur an additional fee. We recommend discussing and implementing these protective measures where necessary. Ruban Studio is not responsible for scratches or scuff marks if these additional packaging options are not requested or included.

Batch Variations

  • Due to variations in raw ingredients, manufacturing processes, and other factors beyond our control, there may be minor differences in colour, flavour, and fragrance within an order and between orders. We cannot guarantee exact matches and will not accept returns or refunds based on batch variations. Please consider these factors when placing an order.

Over and Underruns

  • While Ruban Studio strives to ship the exact quantity ordered, we reserve the right to under or over-deliver by 5% and charge accordingly due to quality control inspections after manufacturing.

Reconditioned Goods

  • Ruban Studio is not liable for the reconditioning or repair of products made or supplied by the customer or a third party.

6. Returns, Cancellations & Liability

Alterations, Cancellations & Returns

The Customer agrees that:

  • All purchase orders, signed artwork proofs, and approved order confirmation forms are final and non-cancellable once received via email or mail.
  • Orders cannot be cancelled once confirmed unless Ruban Studio agrees in writing. The Customer will be responsible for all material and labor costs incurred before cancellation.
  • Orders for custom-made, overseas, and indent products cannot be cancelled once production has begun, regardless of delays due to shipping, customs, strikes, or other external factors.
  • No warranties are offered unless stated in writing. Discounts, refunds, or replacements are at Ruban Studio’s discretion.
  • Returns are not accepted unless approved in writing by Ruban Studio. Goods must be in brand-new, unused condition with undamaged packaging and returned within 14 days of dispatch.
  • Custom-made, custom-processed, or custom-acquired goods cannot be returned without approval.
  • No cash refunds are provided.

Limitation of Liability

  • Ruban Studio’s liability for goods or services is limited to replacement, repair, or the cost of replacement/repair, at its discretion.
  • Ruban Studio is not liable for:
    • Claims made more than 7 days after delivery or after goods have been unpacked, used, installed, or disposed of.
    • Damage to property or premises.
    • Consequential, special, or punitive damages.
    • Claims arising from actions by the Customer or third parties.
  • These Terms override any conflicting agreements, representations, or warranties.

Insurance

Insurance on goods in transit is your responsibility. Please ensure you have adequate goods-in-transit coverage.

7. Usage, Storage & Important Information

Storage

Products should be stored below 25°C in a cool, dark place, away from direct sunlight and heat. Ruban Studio is not liable for deterioration due to incorrect storage or transport. Our team can identify any deterioration by assessing returned stock.

Prior to Use

·       Customers should always refer to the Material Safety Data Sheet (MSDS) or Specification Sheet, or the ingredients label affixed to each product, which are current at the time of supply. It is the customer's responsibility to request these documents for each product prior to use.

·       The information provided is for educational purposes only. Individuals receiving this information must exercise their independent judgment in determining its appropriateness for a particular purpose or use.

Important Information

·       Ruban Studio advises customers to take additional care when handling glassware. While we take every precaution to ensure safe packaging and transit, glass products are inherently fragile. We recommend inspecting all glass items upon delivery and handling them with care to prevent breakage. Additional protective packaging may be required for shipping at an extra cost. Ruban Studio is not liable for breakage due to mishandling after delivery.

·       Additionally, Ruban Studio does not guarantee that users will not experience allergic reactions. If an allergic reaction occurs, discontinue use and consult a doctor. All cosmetic products are approved in Australia, but allergic reactions may still occur. For unlabelled cosmetic orders, the customer is responsible for appropriately labelling the products with ingredient information.

Variations
Due to variations in raw materials, manufacturing processes, and other factors beyond our control, there may be minor differences in colour, finish, and overall appearance within an order and between orders, including for custom prints and glassware. We cannot guarantee exact matches and will not accept returns or refunds based on these batch variations. Please consider these factors when placing an order, especially for customized items.

Exclusions

·       a) No transaction between Ruban Studio and the customer is considered a sale by sample.
b) Any published material by Ruban Studio that contradicts these terms is excluded unless explicitly stated.
c) The customer is responsible for selecting goods and services based on their own expertise, and advice from Ruban Studio is provided at the customer's risk.
d) Goods are sold subject to each manufacturer's trading terms, warranties, and representations.
e) Ruban Studio is not responsible for obtaining necessary permits or approvals.
f) Ruban Studio is not liable for goods made to customer-provided designs or specifications, or goods used, stored, or maintained incorrectly.
g) The customer agrees to check all goods for compliance with laws, standards, and guidelines before use or disposal.

8. Legal & Intellectual Property

Intellectual Property
All intellectual property used in the creation or supply of custom packaging, designs, and manufacturing services remains the property of Ruban Studio, even when the customer contributes ideas, designs, or materials.

Indemnity
The customer fully indemnifies Ruban Studio against any claims or losses arising from the customer’s use or resale of the products or packaging supplied by Ruban Studio, including any third-party claims related to the customer’s brand, trademark, or products.

Jurisdiction
All dealings with Ruban Studio are governed by the laws of New South Wales, and the customer agrees to submit to the jurisdiction of the appropriate court in New South Wales.

Change of Terms & Notice of Change
The customer is bound by any changes to these Terms immediately upon display on Ruban Studio’s website or inclusion in any related documents. The customer is deemed to have notice of such changes, regardless of actual notice.

Customer Restructure
The customer must notify Ruban Studio in writing of any changes to its structure, ownership, or management, including changes in directors, shareholders, or partnerships, within 7 days of such changes.

Default
a) In the event of default by the customer, Ruban Studio may terminate contracts, retain any payments made, cease further deliveries, and recover any lost profits related to the customer’s order.
b) The customer agrees not to initiate legal action against Ruban Studio while in default.
c) The customer agrees to indemnify Ruban Studio for any legal fees incurred due to default.
d) Ruban Studio may apply payments to reduce outstanding fees, at its discretion, until full payment is received.
e) The customer authorizes Ruban Studio to collect any outstanding debt directly from the customer’s debtors if applicable.

Other Terms & Conditions
No terms imposed by the customer shall apply unless expressly agreed to by Ruban Studio.

Waiver
Failure by Ruban Studio to enforce any rights due to a breach does not waive any rights for subsequent breaches or similar occurrences.

Force Majeure
Ruban Studio is not in breach or default due to Force Majeure, including strikes, acts of God, or failure of suppliers. This includes delays or failures caused by any circumstance beyond Ruban Studio’s control. Payment obligations remain unaffected, and the customer is still required to fulfill all payment terms.
